DEED OF ABSOLUTE SALE
Know All Men By These Presents:
This Deed made and executed by and between:
BRITNEY M. SPEARS, a Filipino, of legal age, widower, and MICHAEL R. JACKSON, also a Filipino, of legal age, single, both residents of Cebu City, Philippines, hereinafter referred to as the VENDORS,
-and-
PARIS C. HILTON, a Filipino, of legal age, married to Kevin Federlien and a resident of Hilton Subdivision, Sitio Baca, Cebu City, hereinafter referred to as the VENDEE;
WITNESSETH:
1. That VENDORS are the absolute owners of a parcel of land situated at Lahug, Cebu City covered under TCT NO. _________ consisting an area of _________________ sq. m. Machine copy of the said TCT is hereto attached for the complete description of said lot and marked as Annexes “A” and “A-1”;
2. That for and in consideration of the purchase price of __________________, Philippine Currency, payment of which is acknowledged to have been received, VENDORS hereby sell, transfer and convey unto the VENDEE the aforesaid parcel of land, including its improvements, if there is any, free from all liens and encumbrances whatsoever;
3. That the VENDORS bind themselves to cause the immediate registration of the sale, exclusively defraying all necessary and incidental expenses thereof, including Real Estate taxes, Documentary Stamp, and Capital Gains taxes, transfer taxes, registration fees, notarial and attorney’s fees;
4. That the VENDORS also warrant that they have valid title to, and peaceful possession of the subject lots, that these are not covered by any lease or tenancy agreement, that they shall forever defend the same unto the VENDEE, her heirs, assigns and successors-in-interest against any lawful claim of third persons whomsoever.
